Terms of Service

This agreement is between you and Social Kit, Inc (operating as Creally), located at 2261 Market Street STE 74683, San Francisco, CA 94114, United States. These Terms of Service govern your access to content, reports, documents, products, and online services available through Creally.io.

1. Agreement Acceptance

Accessing the Site and Services means you agree to comply with these Terms. If you are representing a legal entity, you confirm that you have the authority to bind that entity. Disagreement prohibits any access or use.

2. Amendments

Creally may revise these Terms without notice. You are responsible for reviewing them periodically. Continued use after changes constitutes acceptance. If you disagree with any revision, you must stop using the Services.

3. Your Use of the Services

Creally grants a limited, non-exclusive, non-transferable, personal, and non-assignable license to use the Site and Services per these Terms. You may not reproduce, resell, modify without written permission, reverse-engineer, decompile, or create derivative works. You must comply with all applicable laws.

4. Provision of the Services

Creally may modify, suspend, or terminate the Services at any time without notice. Access may be disabled for non-payment or material breach, which may prevent access to your content. Only one account per user is permitted.

5. Security

You must provide accurate registration information and safeguard all tokens, keys, and passwords. Notify Creally immediately of unauthorized use or breaches. Creally may access credentials for technical and billing support and service maintenance.

6. Privacy Policy

6.1

When processing personal data through the Site and Services, you may become a "controller" under data protection laws, including GDPR.

6.2

Under GDPR, each party is an independent controller regarding personal data Creally obtains from you (for administration and billing) and from third parties (Creator Data). The parties do not jointly determine purposes or means, and do not act as joint controllers.

6.3

Regarding personal data you provide ("Your Data"), you act as independent controller and Creally acts as processor. Creally will:

  • Process Your Data per your documented instructions in this Agreement.
  • Inform you of legal obligations requiring processing contrary to your instructions, unless prohibited.
  • Implement appropriate technical and organizational security measures taking into account the state of the art, implementation costs, and the nature, scope, context, purposes, and risks of processing.
  • Notify you without undue delay of personal data breaches.
  • Ensure authorized personnel are bound by confidentiality.
  • Engage processors with written, GDPR-compliant agreements, notifying you of any changes.
  • Assist with data subject rights requests, data protection impact assessments, supervisory authority consultations, and breach notifications.
  • Ensure EEA data transfers comply with GDPR.

You may request the return of Your Data within 30 days after service access termination per Clause 11.

6.4

You must collect, use, and disclose influencer and creator personal data fairly and lawfully. Do not use it for unlawful or unethical purposes, and respect reasonable privacy expectations.

6.5

Violations or unlawful/unethical behavior will result in access termination without notice. Creally ensures fair and lawful personal data treatment and will not tolerate violations of these principles.

7. Charged Services

Some features require fees via subscription. Amounts are billed in EUR unless stated otherwise, either upfront or monthly, and are non-refundable. Non-payment may cause suspension or termination. You remain liable for any unpaid fees.

8. Content

All data is informational only. Creally does not guarantee accuracy or completeness and is not liable for errors. Third-party platform access may be required, and those platforms may restrict content generation. Sharing generated content requires acknowledging Creally as the source with a link to our website.

9. Restrictions

You may use the Services only as specified in your subscription. Restrictions include:

9.2 Using Charged Services without meeting payment obligations.

9.3 Modifying, rerouting, or bypassing the Service.

9.4 Broadcasting, reproducing, republishing, posting, transmitting, or distributing parts of the Service except as expressly permitted.

9.5 Assigning, syndicating, reselling, or making available obtained information to third parties without written agreement from Creally.

9.6 Copying, modifying, creating derivative works, reverse engineering, reverse assembling, discovering source code, or enabling third parties to do so.

9.7 Using the Services in any way harmful to Creally, affiliates, resellers, distributors, customers, service providers, or suppliers (Creally’s sole determination).

9.8 Damaging, disabling, overburdening, impairing the Services, or interfering with others’ use or enjoyment.

9.9 Using meta tags or hidden text containing Creally’s name, trademarks, or branding without written consent.

9.10 Displaying the Site within frames or presenting content in any other manner without written consent.

9.11 Using the Services contrary to applicable third-party terms or agreements, including permission requirements.

9.12 Stalking, harassing, or harming individuals.

9.13 Compiling false, misleading, or deceptive information or content.

9.14 Harming minors.

9.15 Providing material support or resources to government-designated terrorist organizations or violating international laws.

9.16 Violating or infringing third-party rights, including intellectual property (copyrights, trademarks, patents).

9.17 Gaining unauthorized access to any third-party service, account, computer system, or network.

9.18 Using Creally’s domain name or contact details as a pseudonymous reply email or address, or impersonating Creally or any third party.

9.19 Creating multiple tokens, keys, or credentials for disruptive or abusive purposes, or for overlapping use. Abuse will cause suspension or termination without notice. Violations result in permanent suspension of all credentials.

9.20 Creating multiple accounts or plans for a single user. Detection will result in termination without notice or refund at Creally’s sole discretion.

10. Publicity

You grant Creally the right to include your name and company logo in customer lists and promotional materials.

11. Cancellation or Termination

You may cancel anytime; no refunds are provided for unused portions of a subscription. Creally may terminate for non-payment or breach.

12. Proprietary Rights

All Site and Services content, trademarks, and intellectual property belong to Creally or its licensors. You may not reproduce or distribute materials without permission.
